1. Agreement to these Terms
By creating a Winka account, downloading, installing or using Winka, or purchasing a Winka subscription, you agree to these Terms of Use and the Winka Privacy Policy. If you use Winka on behalf of a business or other organisation, you confirm that you have authority to agree to these Terms on its behalf.
2. Minimum age
You must be at least 13 years old to create or use a Winka account. If you are under 18, any paid subscription must be purchased or authorised by a parent or legal guardian who has the legal capacity to enter into the purchase.
Winka is a general-audience productivity service and is not directed specifically at children.
4. About Winka
Winka is a desktop reminder application and software product operated under the Norange business.
4. Your account and account security
You must provide accurate information when creating an account and keep your login credentials reasonably secure. You are responsible for activity carried out through your account unless applicable law provides otherwise. Contact support@winkareminder.com if you believe your account or Winka data has been accessed without permission.
5. Licence to use Winka
Subject to these Terms, Winka gives you a limited, non-exclusive, revocable right to install and use the Winka application for your own personal or internal business use. Winka and its underlying software, branding, design and other intellectual property remain owned by or licensed to the Winka operator.
You must not copy, sell, sublicense or commercially redistribute Winka, attempt to gain unauthorised access to Winka systems, or bypass security or plan restrictions, except to the extent that applicable law expressly permits an activity that cannot lawfully be restricted.
6. Free, Lite and Plus
Winka may offer Free, Lite and Plus plans with different features and usage limits. The current plan comparison shown by Winka forms part of the description of those plans. If you move to a lower plan, Winka will not delete reminder data solely because of that downgrade, although features or creation limits outside the new plan may become unavailable.
7. 14-day Plus trial
Eligible users receive a 14-day Winka Plus trial after completing the Winka email-verification process. No payment card is required to begin that trial. If you do not subscribe to a paid plan, your account moves to Free when the trial ends. Existing data is not deleted solely because the trial ended, although paid functionality may no longer be available.
8. Paid subscriptions and renewal
When paid plans are available, Lite and Plus may be offered on monthly or annual billing intervals. The total price, billing interval, taxes or other mandatory charges, and whether the subscription automatically renews will be presented before you purchase.
Unless you cancel before the applicable renewal, a recurring paid subscription may renew for the same billing interval. Winka will not rely on wording that hides the fact that a subscription renews automatically or obscures the amount or duration you are agreeing to pay.
9. Cancellation and plan changes
Cancellation of a paid subscription generally takes effect at the end of the current paid billing period, so paid access continues until that period ends unless a different remedy is required by law.
If you change from a monthly paid plan to an annual paid plan, the annual plan is scheduled to start when the current monthly billing period ends rather than charging a new annual amount part-way through the monthly period.
10. Payments, failed payments and future price changes
Payments are intended to be processed through Stripe or another payment provider disclosed before purchase. If a paid renewal fails, paid entitlements may stop and the account may fall back to Free without deleting reminder data solely because the payment failed.
If Winka changes a paid plan price in the future, the change will be communicated before it applies. Monthly subscribers are intended to receive six months of price protection from the date they subscribe, while annual subscribers keep their agreed price until their next annual renewal. If a subscription is cancelled and later restarted, the price offered at the time of the new subscription may apply.
11. Your reminder content
You retain ownership of reminder titles, notes, images and other content you add to Winka. You give Winka the limited permission needed to host, store, process, synchronise, display and transmit that content only as necessary to provide, secure and support the service.
You are responsible for having the right to add content to Winka. Do not use Winka to store or distribute unlawful content or content that infringes another person’s rights. Winka is not designed as a secure vault for passwords, payment-card details, government identification numbers, or highly sensitive health, legal or financial information, and you should avoid storing that information in reminders.
12. Important reminders and reliance on Winka
Winka is designed to make everyday reminders difficult to miss, but software, devices, operating systems, networks and notification settings can fail or be unavailable. You should not use Winka as the sole safety mechanism for emergencies, medical treatment, life-critical events, legal deadlines, financial controls or other situations where a missed reminder could cause serious harm.
This section does not exclude any consumer guarantee or other right that cannot lawfully be excluded.
13. Acceptable use
You must not use Winka to break the law, access another user’s account or data without permission, interfere with the security or availability of Winka, introduce malicious code, abuse account or verification systems, scrape or probe the service in a way that creates security or operational risk, or circumvent technical restrictions except where applicable law expressly permits it.
14. Updates and changes to Winka
Winka may provide application updates, security fixes, new features or changes to existing features. Some updates may be required to continue using particular functionality safely or compatibly. Where a material change adversely affects an existing paid service, Winka will provide reasonable notice where required or appropriate.
15. Availability and third-party services
Winka depends on operating systems, internet connectivity and third-party infrastructure such as hosting, authentication, email and payment services. We work to keep the service available and secure, but uninterrupted availability cannot be guaranteed.
Third-party services may be governed by their own terms and privacy policies where you interact with them directly, such as a payment provider.
16. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or other protection that cannot lawfully be excluded under the Australian Consumer Law or other applicable law. Where Winka is required to provide a remedy under law, these Terms do not remove that obligation.
17. Liability
To the maximum extent permitted by law, neither party is responsible for losses that are too remote or not reasonably foreseeable, or for losses caused by circumstances outside that party’s reasonable control. Nothing in these Terms limits liability or remedies where doing so would be unlawful, including rights available under the Australian Consumer Law.
18. Account restrictions and termination
Winka may restrict, suspend or terminate access where reasonably necessary to respond to serious misuse, fraud, unlawful activity, a material breach of these Terms, threats to other users or the security or integrity of the service. Where appropriate, we may give notice and an opportunity to address the issue before taking action.
Ending an account does not remove rights or obligations that by their nature continue after termination, including intellectual-property rights, payment obligations already incurred and rights under applicable law.
19. Privacy and security incidents
The Winka Privacy Policy explains how personal information is handled, including our approach to suspected data breaches and security incidents. If you believe your Winka account or personal information has been compromised, contact support@winkareminder.com as soon as reasonably possible.
20. Changes to these Terms
We may update these Terms when Winka, our billing model, our services or legal requirements change. If a change materially affects an existing paid subscription or removes a significant existing right, we will provide notice as required by applicable law and will not use these Terms to remove non-excludable consumer rights.
21. Governing law
These Terms are governed by the laws of Queensland, Australia, except to the extent that mandatory laws in your country or place of residence apply. Nothing in these Terms limits consumer, privacy or other rights that cannot lawfully be excluded. Subject to those mandatory rights, the courts of Queensland, Australia have non-exclusive jurisdiction.
